Terms of Service
Last updated: 3 September 2025
1. Agreement
These Terms of Service ("Terms") govern your use of joinmembrz.com and the Membrz platform (the "Service"), operated by Membrz Lda ("the Company," "we," "us," or "our") (Rua Garrett 44, 2 Andar, 1200-109 Lisbon, Portugal). Creating an account or using the Service means you accept these Terms. If you do not, do not use the Service.
If you are a consumer (a natural person acting outside your trade, business, craft, or profession), nothing in these Terms limits your statutory consumer rights under the law of your country of residence.
2. What Membrz Does
Membrz is a live events financial and logistics platform. It offers dedicated event pages, ticket and merchandise sales, QR door check-in and attendance tracking, payout split configuration for artists, venues, crew, and other stakeholders, and automated payout disbursements after each event.
Payment processing is provided by Stripe Payments Europe, Ltd. The Company routes instructions through Stripe but does not hold, custody, or transmit funds. Membrz is not a bank, payment institution, or electronic money institution. Stripe's agreements govern payment terms.
3. Use of the Service
- You must be at least 18, or have verifiable parental or guardian consent, to create an account;
- You must not use the Service unlawfully, organise events breaching applicable law or public-safety rules, or provide ticket purchasers with false or misleading event information;
- You must not copy, scrape, reverse-engineer, or seek unauthorised access to the Service, except where mandatory law permits it;
- You must obtain every permit, licence, and insurance required to hold your event lawfully. The Company is not responsible for venue-level regulatory compliance.
4. Intellectual Property
The Company or its licensors own the Service, including its software, design, and content, which Portuguese and EU intellectual-property law protects. You receive a limited, non-exclusive, non-transferable licence to use it as intended. This licence gives you no ownership of intellectual property.
5. Organiser Content and Responsibilities
As an organiser, you are solely responsible for content you publish on the Service, including event descriptions, images, and ticket terms. You confirm that you have the necessary rights and that the content does not infringe third-party rights. You grant the Company a limited licence to display, store, and process it only to provide the Service.
Payout split rules are your instructions to the Company. You must ensure they match your agreements with recipients. The Company routes payments accordingly and is not liable for disputes caused by incorrectly configured splits between organisers and stakeholders.
6. Platform Fees
The Company charges fees according to your plan. Starter is free and carries a 5% fee on ticket sales; Creator and Promoter are subscription plans. Fees are deducted from proceeds before payout or billed monthly, as applicable. See joinmembrz.com/pricing.html. The Company may change fees with reasonable advance notice.
7. Right of Withdrawal (Consumer Contracts)
Where you enter into a paid subscription contract with the Company as a consumer at a distance, you have the right to withdraw within 14 days of subscribing, under the EU Consumer Rights Directive, without giving any reason. To exercise this right, contact us at [email protected] with a clear statement of withdrawal. We will refund all subscription amounts received within 14 days of your withdrawal notice, provided no event has been run under the subscription during the withdrawal period.
Free-tier use of the Service does not constitute a paid consumer contract; the right of withdrawal applies only to paid Creator and Promoter subscription plans.
8. Disclaimers and Statutory Guarantees
The Service is provided on an "as is" basis. Nothing in these Terms excludes or limits the Company's liability for (a) death or personal injury caused by negligence, (b) fraud or fraudulent misrepresentation, or (c) any other liability that cannot be excluded under mandatory Portuguese or EU law. Statutory guarantees that apply to consumers under EU law are not affected by these Terms.
9. Limitation of Liability
To the extent permitted by law, the Company's total aggregate liability for any claim arising from or related to the Service will not exceed the greater of: (a) the total fees paid by you to the Company in the three months preceding the event giving rise to the claim, or (b) EUR 100. This limitation does not apply to liability that cannot be limited under mandatory law (see Section 8).
10. Termination
We may suspend or end your access for a material breach, giving notice where practicable. Provisions intended to survive termination will continue, including Sections 4, 5, 8, 9, 11, and 12.
11. Governing Law and Jurisdiction
These Terms are governed by the laws of Portugal.
The courts of Lisbon, Portugal have exclusive jurisdiction over any dispute arising from or related to these Terms or the Service, subject to mandatory consumer-protection rules of your country of residence (Article 17-19 of Regulation (EU) 1215/2012). If you are a consumer, you may also bring proceedings before the courts of your country of residence, and the Company may only sue you in those courts.
The European Commission provides an Online Dispute Resolution platform at ec.europa.eu/consumers/odr. The Company does not commit to using an alternative dispute resolution body but will cooperate where required by applicable law.
12. Changes to These Terms
We may revise these Terms. Material changes will be posted with a new "Last updated" date. Continued use after a change takes effect means you accept the revised Terms.
